Terms of Service
These Terms set out the conditions for using the Cayde service provided by Codeit Inc. and the rights and obligations of the Company, Customers, and Members. Please review them before using the Service.
Article 1 (Purpose and Scope)
(1) The purpose of these Terms is to set out the rights, obligations, and responsibilities between Codeit Inc. (the "Company") and Users, and other necessary matters, regarding the use of the Cayde service provided by the Company.
(2) The Service Agreement is concluded between the Company and the Customer. Rights and obligations relating to the Service Agreement, such as payment of Service fees, the opening and termination of Workspaces, and the entrustment of Candidates' personal information processing, belong to the Customer.
(3) Members must agree to these Terms when creating an account and are directly responsible to the Company for managing their account and for the matters set out in Article 15. The Customer's responsibility for Members' use of the Service is set out in Article 5.
(4) Candidates are not parties to these Terms, and a separate notice and consent process is provided to Candidates before they take an interview. The relationship between the Company and Candidates is governed by Article 10, and the processing of Candidates' personal information is governed by the Company's Privacy Policy and the consent to the collection and use of personal information determined by the Customer.
Article 2 (Definitions)
(1) The terms used in these Terms are defined as follows.
- Service: the AI interview platform provided by the Company through cayde.ai and its subdomains, and all related ancillary services.
- Customer: a corporation, organization, or sole proprietor that agrees to these Terms, concludes a Service Agreement with the Company, and uses the Service.
- Workspace: a space created within the Service by a Customer in order to use the Service.
- Account: the eligibility granted to an individual to access the Service. A single Account may belong to multiple Workspaces.
- Member: a person who has been granted permission by a Customer to use the Service and uses the Service in a Workspace under the Customer's management. Members are classified as Owners, Administrators, or Standard Members according to the permissions granted. The specific scope of each permission is as determined by the Company through the Service screen.
- Owner: the Customer itself or a Member who represents or acts on behalf of the Customer, and who has the authority to use all management functions of the Workspace and to conclude, change, or terminate the Service Agreement and make payments. The Account that first opened the Workspace becomes the Owner, and the Owner may transfer this authority to another Member.
- User: Customers and Members to whom these Terms apply, collectively.
- Candidate: a person who, in connection with a Customer's hiring process, is invited by a Member to take, or is eligible to take, an interview provided through the Service.
- Evaluation Criteria: interview questions, core competencies, and detailed evaluation items set by the Customer or generated or modified by the Service.

(2) Terms used in these Terms that are not defined in paragraph (1) follow relevant laws and Service-specific guidance, and anything not defined therein follows general commercial practice.
Article 3 (Posting and Amendment of Terms)
(1) The Company posts the contents of these Terms, its trade name, the name of its representative, business address, phone number, email address, business registration number, mail-order business registration number, Chief Privacy Officer, and other such information on the Service screen so that Users can easily find them.
(2) The Company may amend these Terms to the extent that doing so does not violate relevant laws such as the Act on the Regulation of Terms and Conditions, the Telecommunications Business Act, the Act on Promotion of Information and Communications Network Utilization and Information Protection, and the Personal Information Protection Act.
(3) When the Company amends these Terms, it will post a notice on the Service screen, stating the effective date and the reason for the amendment together with the current Terms, from 7 days before the effective date until the day before the effective date. However, if the Terms are changed to the disadvantage of Customers or Members, the Company will post the notice in the same manner from 30 days before the effective date, notify them individually in the manner set out in Article 6, and clearly display a comparison of the contents before and after the amendment.
(4) When giving a notice under paragraph (3), the Company will also inform Customers and Members that they may express their refusal if they do not agree to the amended Terms, and how to do so. If a Customer or Member does not express refusal by the effective date, they will be deemed to have agreed to the amended Terms.
(5) A Customer or Member who does not agree to the amended Terms may terminate the Service Agreement or delete their Account by the day before the effective date. In this case, refunds and related matters are governed by Article 12.
Article 4 (Rules Other Than These Terms)
(1) If the Company and a Customer have concluded a separate agreement regarding the use of the Service (a "Separate Agreement"), the Separate Agreement prevails over these Terms with respect to matters it expressly sets out differently from these Terms. These Terms apply to matters not set out in the Separate Agreement. However, the processing of personal information is governed by Article 9.
(2) Matters not set out in these Terms and the interpretation of these Terms are governed by relevant laws, such as the Act on the Regulation of Terms and Conditions, and general commercial practice.
Article 5 (Account Creation and Formation of the Service Agreement)
(1) An individual may create an Account by following the procedure set by the Company, and anyone creating an Account must agree to these Terms. The same applies when joining a Workspace by accepting an invitation from a Customer or Member; if the person accepting the invitation does not have an Account, they must agree to these Terms when creating one.
(2) The Service Agreement is formed between the Customer using a Workspace and the Company when the Workspace is opened and the Company accepts it. Creating an Account alone does not form a Service Agreement.
(3) The acceptance in paragraph (2) takes effect when the Company gives notice by email, through the Service screen, or by other means, or when it allows use of the Workspace to begin. If the Company needs to verify the details of an application, it may withhold acceptance and ask the applicant to provide additional information or cooperate with a verification procedure.
(4) In principle, the Company accepts applications to create an Account or open a Workspace. However, in any of the following cases, the Company may refuse acceptance, or may later restrict the use of the Account or terminate the Service Agreement.
- Where the applicant's Account use has previously been restricted, or their Service Agreement has previously been terminated, under these Terms
- Where the application is not made under the applicant's real name or uses another person's name
- Where false information is entered or information required by the Company is not entered in the application
- Where the applicant is under 14 years of age
- Where the applicant seeks to use the Service beyond the scope of the free trial or free Credits set by the Company, such as by opening additional Workspaces with the same Account or the same email domain
- Where acceptance is otherwise impossible due to reasons attributable to the applicant, or the application is made for an illegitimate purpose
(5) An individual who opens a Workspace or receives a transfer of Owner authority represents and warrants that they have the authority to agree to these Terms and to conclude, change, and terminate the Service Agreement on behalf of the Customer. If they did not have such authority, that individual alone bears the obligations and responsibilities under these Terms; however, if the Customer ratifies the Service Agreement or actually uses the Workspace, the Customer is jointly and severally liable with that individual for the obligations and responsibilities under these Terms.
(6) Members' use of the Service is deemed to be the acts of the Customer. The Customer is responsible for ensuring that Members comply with these Terms and relevant laws, and is responsible for the consequences of Members' acts.
(7) If there is any change to the information they have registered, Customers and Members must notify the Company of the change within a reasonable period, either through the Service screen or by notifying the Company.
Article 6 (Notices and Announcements)
(1) When the Company gives notice to a Customer or Member, it may do so via the email address, phone number, or other contact information registered to the Account. Notice to a Customer is deemed to have been given when it is given to a Member with Owner or Administrator permissions.
(2) When the Company gives notice to all Customers or Members, it may replace the notice in paragraph (1) by posting an announcement on the Service screen for 7 days or more. However, matters that materially affect the rights and obligations of Customers or Members will be notified individually in the manner set out in paragraph (1).
(3) Promotional information for commercial purposes is sent only to Customers or Members who have consented to receive it, and Customers or Members may opt out or withdraw their consent at any time. However, they may not opt out of notices regarding the provision, change, or suspension of the Service, the Service Agreement, fees, changes to the Terms and the Privacy Policy, or other matters for which notice is required by relevant laws.
(4) If a notice does not reach a Customer or Member because they did not update or incorrectly registered their contact information, the notice is deemed to have reached them when the Company duly sent it in the manner set out in paragraph (1).
(5) In addition to the methods in paragraphs (1) through (4), the Company will take any additional measures required by relevant laws.
Article 7 (Termination of the Service Agreement and Withdrawal)
(1) A Customer may apply to terminate the Service Agreement by following the procedure set by the Company (such as contacting customer support), and the Company will process it without delay as prescribed by relevant laws. Only the Owner may apply to terminate the Service Agreement. However, if the Customer has outstanding obligations such as unpaid fees, the Company may withhold processing until they are settled. Refunds and the handling of Credits upon termination are governed by Article 12.
(2) A Member may leave a Workspace through the Service screen and may apply to delete their Account by following the procedure set by the Company (such as contacting customer support). A Member's withdrawal does not affect the Customer's Service Agreement and is not a reason to destroy data belonging to the Customer. The Owner may leave only after transferring Owner authority to another Member, and if the Owner is the only Member of the Workspace, the Owner must terminate the Service Agreement under paragraph (1).
Article 8 (Protection of Personal Information)
(1) The Company strives to protect Users' personal information as prescribed by relevant laws, and matters concerning the processing of personal information are governed by relevant laws and the Company's Privacy Policy.
(2) Candidate Data that a Customer entrusts to the Company for processing is governed by Article 9.

(2) The Company performs the work in paragraph (1) for the duration of the Service Agreement. (4) The Company may sub-entrust personal information processing to parties disclosed in the Privacy Policy to the extent necessary to provide the Service, and by agreeing to these Terms, the Customer is deemed to have approved such sub-entrustment. The Company manages and supervises sub-processors so that they process personal information securely in accordance with relevant laws, and is liable to the Customer for damages caused by reasons attributable to sub-processors.
(5) When the Company adds or changes a sub-processor, it will notify the Customer in the manner set out in Article 6(1) before the change takes effect, together with the fact that the Customer may object and the objection period. If the Customer objects within the objection period on reasonable grounds relating to the protection of personal information and the Company and the Customer cannot reach an agreement, the Customer may terminate the Service Agreement, and refunds and related matters are governed by Article 12. However, if a sub-processor must be changed for urgent reasons such as a sub-processor's outage or a security incident, the Company may give notice without delay after the change.
(6) The Company takes the administrative and technical measures necessary to ensure the security of personal information in accordance with relevant laws such as the Personal Information Protection Act and the Standards for Measures to Ensure the Safety of Personal Information.
(7) The Customer may supervise the Company, inspect its practices, and request corrections regarding the following matters, and the Company will comply unless there is a special reason not to. In principle, regular on-site inspections are conducted once a year during the Company's business hours with prior notice from the Customer, except where additional inspections are necessary, such as in the event of a personal information breach or a reasonable suspicion of a violation of law. The Company may provide a report from a third-party certification body (such as SOC 2 or ISMS) or the results of its own inspection in lieu of the regular on-site inspection. The Company may limit the scope of an inspection to the Customer's data and related systems, and the Customer must protect any trade secrets of the Company it learns of during the inspection.

-
The status of access to personal information and the persons accessing it
-

(8) The Company provides personal information protection training at least once a year to employees who process Candidate Data, and provides records of such training upon the Customer's request.

(11) If the Company, its employees, or a sub-processor violates obligations under these Terms or relevant laws in performing entrusted or sub-entrusted work and causes damage to the Customer, a Candidate, or a third party, the Company will compensate for it. If the Customer has compensated a Candidate or third party for all or part of such damage, the Customer may seek recourse against the Company.
(12) If the Customer violates its obligation under paragraph (10) and causes damage to a Candidate or third party, the Customer is responsible, and if the Company has compensated a Candidate or third party for all or part of such damage, the Company may seek recourse against the Customer.

In this case, the Customer may terminate the Service Agreement by the day before the effective date.
Article 12 (Fees, Credits, and Refunds)
(1) Service fees and the terms on which Credits are provided are as separately determined by the Company and the Customer. The Customer uses the Paid Service by paying the fees determined.
(2) Credits belong to the Customer and may be used only within the Workspace to which they were provided. Credits do not belong to individual Members.
